Terms and Conditions

Smart Marketing Strategies
Effective Date: October 16, 2026

1. About These Terms
These Terms and Conditions (“Terms”) govern your use of smartmarketingstrategies.com (the “Website”), our free tools (Domain Checker, Website Grader, and Social Handle Checker), our client dashboard, and the digital marketing, web, and software services we provide (the “Services”).

These Terms form an agreement between you (“Client,” “you,” or “your”) and Smart Marketing Strategies (“we,” “us,” or “our”), a digital marketing and software agency founded in 2018 and operating from Pakistan, serving clients worldwide.

By using the Website or hiring us, you agree to these Terms. If you do not agree, please do not use the Website or Services. If you sign a separate proposal, statement of work, or service agreement with us, that document applies together with these Terms. If the documents conflict, the signed agreement controls.

2. Who Can Use Our Services
You must be at least 18 years old and legally capable of entering into a binding agreement. If you sign up on behalf of a business, you confirm that you have the authority to bind that business to these Terms.

3. Our Services
We offer services including SEO, local SEO, answer engine optimization (AEO), paid advertising (Google, Meta, Amazon, and other platforms), web design and development, e-commerce and Shopify services, social media management, content and copywriting, link building, email marketing, conversion rate optimization, reputation management, and website maintenance.

The exact scope, deliverables, and price for each project are specified in your proposal, invoice, or statement of work (“Scope”).

Work outside the agreed Scope requires a change request. We will communicate any additional costs and timing before beginning the extra work, and we will proceed only after receiving your approval.

4. No Guarantee of Results
Marketing results depend on factors outside our control, including search engine and advertising platform algorithms, competition, market conditions, budgets, and website performance.

We use our professional skills and reasonable efforts to deliver our Services and report performance transparently. However, we do not guarantee specific rankings, traffic, leads, sales, revenue, follower counts, return on investment, or timelines for achieving results.

Figures, case studies, and examples published on our Website or included in proposals reflect past performance or estimates and are not guarantees of future results.

5. Client Responsibilities
To help us deliver the Services effectively, you agree to:

Provide accurate information and timely access to the websites, accounts, analytics, advertising platforms, and files required for our work.
Review and approve deliverables within a reasonable time. Delays in your responses or approvals may affect project timelines and results.
Ensure that you own or have permission to use all materials you provide, including logos, images, text, and data.
Keep your account credentials and access secure and notify us promptly of suspected unauthorized access.
Comply with the rules of third-party platforms we use on your behalf, as well as the laws applicable to your business and advertising activities.
We are not responsible for delays or results materially affected by information, access, materials, or approvals that you fail to provide on time.

6. Fees and Payment
Pricing: Fees are specified in your Scope. Unless otherwise stated, prices are quoted in U.S. dollars.

Billing: Monthly services are billed in advance according to the invoice. One-time projects are billed according to the payment schedule agreed in the Scope.

Payment Methods: We accept the payment methods specified on your invoice. Payments processed through third-party providers are also subject to their applicable terms.

Late Payments: If an invoice remains unpaid for more than seven (7) days after its due date, we may suspend work until payment is received. Any applicable late fees will be charged only where permitted by law and in accordance with the agreed payment terms.

Advertising Spend: Amounts paid to advertising platforms, including Google, Meta, and Amazon, are separate from our service fees. You must pay the platforms directly unless we agree otherwise in writing.

Taxes and Bank Fees: You are responsible for applicable taxes, duties, bank charges, and currency conversion fees associated with your payments, excluding taxes imposed on our income.

Refunds: Fees for work already completed and time specifically reserved for your project are generally non-refundable, subject to applicable law and any written refund terms agreed between us.

7. Month-to-Month Services and Cancellation
Our monthly Services operate on a month-to-month basis unless a different commitment is agreed in writing.

Cancellation by You: You may cancel a monthly Service by providing written notice, including by email, at least fifteen (15) days before your next billing date. If sufficient notice is provided, you will not be charged for the following billing period.

Suspension or Termination by Us: We may suspend or terminate a Service if you fail to pay, breach these Terms, request unlawful or prohibited activities, or if we are no longer able to provide the Service. We will provide reasonable notice where practicable.

After Cancellation: You remain responsible for all fees due through the effective termination date. Subject to applicable law and any contractual obligations, we will provide your completed deliverables, reports, and relevant account access after outstanding fees have been paid.

8. Third-Party Accounts and Platforms
Our Services may rely on third-party platforms, including Google, Meta, Amazon, Shopify, and WordPress. These platforms may change their policies, algorithms, pricing, features, or availability, or suspend accounts at any time.

We are not responsible for third-party decisions or changes outside our reasonable control, or for resulting losses to the extent permitted by law.

You must comply with the applicable terms of each platform. Any client account we manage on your behalf remains your property unless otherwise agreed in writing.

9. Ownership and Intellectual Property
Your Materials: You retain ownership of the materials you provide, including your brand assets, logos, content, data, and accounts. You grant us limited permission to use those materials solely to perform the Services.

Our Deliverables: Upon full payment of all applicable fees, ownership of final custom deliverables created specifically for you transfers to you, subject to third-party rights and the exclusions described below.

Our Tools and Know-How: We retain ownership of pre-existing and general-purpose tools, templates, code libraries, methods, processes, and know-how, including materials that we reuse across clients. Where these are incorporated into a deliverable, you receive a non-exclusive, worldwide license to use them as part of that deliverable.

Third-Party Materials: Stock images, fonts, plugins, themes, software, and other third-party materials remain subject to their respective licenses. Separate purchases or renewals may be required.

Portfolio Use: We may display completed work and general results in our portfolio and marketing materials, provided we do not disclose your confidential information. You may opt out by notifying us in writing.

Our Website: The content, design, text, graphics, logos, and software on our Website belong to us or our licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or resell them without written permission, except as permitted by law.

10. Confidentiality
Each party agrees to protect the other party’s non-public business information, use it only for purposes related to the Services, and not disclose it except to employees, contractors, and professional advisers who need access and are subject to confidentiality obligations, or where disclosure is required by law.

Confidentiality obligations do not apply to information that is publicly available through no breach of these Terms, was lawfully known beforehand, was independently developed, or was lawfully obtained from another source without a confidentiality restriction.

These obligations continue for two (2) years after the Services end, except where applicable law or a separate written agreement requires a different period.

11. Free Tools
Our free tools, including the Website Grader, Domain Checker, and Social Handle Checker, are provided “as is” for general informational purposes.

Results may be incomplete, inaccurate, or outdated. A domain name or username displayed as available may no longer be available. You should verify availability directly with the relevant registrar or platform before relying on a result.

We may modify, suspend, or discontinue any free tool at any time.

12. Acceptable Use
When using the Website or Services, you agree not to:

Violate applicable laws or infringe the rights of others.
Send spam, malware, or harmful code, or attempt to hack, scrape at scale, overload, or disrupt the Website.
Access accounts, data, or Website areas without authorization.
Use the Website or its tools to create a competing service or reproduce our protected content without permission.
Submit false, misleading, or fraudulent information.
We may restrict or suspend access if we reasonably believe these rules have been violated.

13. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Website, free tools, and Services are provided “as is” and “as available,” without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Website or Services will always be available, secure, uninterrupted, or error-free. Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.

14. Limitation of Liability
To the fullest extent permitted by applicable law:

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, data, or business opportunities, even if we have been advised that such damages are possible.
Our total aggregate liability for claims arising from or relating to the Services or these Terms will not exceed the fees you paid us for the Services giving rise to the claim during the three (3) months preceding the event that caused the claim.
These limitations do not apply to the extent prohibited by applicable law and do not exclude liabilities that cannot legally be excluded or limited.

15. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold Smart Marketing Strategies harmless from third-party claims, losses, liabilities, and reasonable legal expenses arising from materials or instructions you provide, your products or services, your breach of these Terms or applicable law, or your misuse of a third-party platform.

16. Governing Law and Disputes
These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles, subject to any mandatory legal protections that apply to you.

If you have a concern or dispute, please contact us at smartmarketingstrategies007@gmail.com so we can attempt to resolve it informally within thirty (30) days.

If the dispute cannot be resolved informally, it may be brought before the courts of competent jurisdiction in Rawalpindi, Pakistan, subject to applicable law and any mandatory jurisdictional requirements.

17. Electronic Communications
By using our Website or Services, you agree that we may communicate with you by email, phone, text message where you have provided the required consent, or through our client dashboard.

Electronic communications may satisfy legal requirements for written notices where permitted by applicable law.

18. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will update the “Last Updated” date and, for material changes, provide notice by email or through the Website where appropriate.

Your continued use of the Website or Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

Changes do not modify an existing signed Scope unless both parties agree in writing or the change is otherwise permitted by the agreement or applicable law.

19. General Provisions
Entire Agreement: These Terms, your applicable Scope, and our Privacy Policy constitute the agreement between you and us concerning their subject matter, subject to any separate signed agreement.

Severability: If any provision is found unenforceable, the remaining provisions will remain effective to the extent permitted by law.

No Waiver: Failure to enforce a right or provision does not constitute a waiver of that right or provision.

Assignment: You may not transfer your rights or obligations under these Terms without our written consent. We may assign our rights and obligations as part of a merger, sale, restructuring, or transfer of our business, subject to applicable law.

Independent Contractor: We provide Services as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship.
